These Terms & Conditions (“Terms”) govern your use of the Rights.dev website at rights.dev (the “Site”) and any applications submitted through it. By accessing the Site or submitting an application, you agree to these Terms. If you do not agree, do not use the Site.

1. About Rights.dev

Rights.dev is an independently operated verification infrastructure service currently in pre-launch development. Its purpose is to provide a machine-queryable registry of licensing relationships — enabling AI platforms to verify at request time whether a supplier is licensed to deliver copyrighted content.

Rights.dev is not a rights ownership registry, a licensing agency, a royalty collection society, or a content delivery service. It does not negotiate licenses, collect royalties, or represent any rights holder or publisher in commercial dealings.

2. Use of This Site

This Site is provided for informational purposes and to accept applications from prospective founding members and developer access requesters. You may use the Site for lawful purposes only.

You agree not to: use the Site to transmit unlawful, defamatory, or infringing content; attempt to gain unauthorized access to any system or data; interfere with the availability or integrity of the Site; or use automated tools to scrape or extract content from the Site without prior written permission.

Rights.dev reserves the right to restrict access to the Site at any time, for any reason, without notice.

3. Applications and Founding Membership

Submitting a founding membership application or developer access request through this Site does not guarantee participation, access, or membership. Rights.dev reviews applications at its discretion and reserves the right to accept or decline any application without explanation.

The terms of founding membership — including governance rights, obligations, data access, and duration — will be defined in a separate founding member agreement provided to accepted applicants. These Terms do not constitute or create any membership agreement.

If accepted, your participation as a founding member is governed by the founding member agreement, these Terms, and the Rights.dev Privacy Policy. In the event of a conflict, the founding member agreement controls.

4. Intellectual Property

The content of this Site — including text, design, graphics, and the Rights.dev wordmark and logo — is owned by or licensed to Rights.dev and is protected by applicable intellectual property law. You may not reproduce, distribute, or create derivative works from Site content without prior written permission.

The Rights.dev credential schema, verification protocol, and technical specification are governed collectively by founding rights holders pursuant to the governance framework described at rights.dev/governance. They are not the proprietary property of any single organization, including Rights.dev as operator.

Submitting an application does not transfer any intellectual property rights in either direction.

5. Disclaimer of Warranties

THE SITE AND ALL INFORMATION ON IT ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. RIGHTS.DEV MAKES NO WARRANTY THAT THE SITE WILL BE AVAILABLE, ERROR-FREE, OR ACCURATE AT ALL TIMES.

Rights.dev is pre-launch. No verification infrastructure, credential issuance, or API service is currently operational. Information on this Site describes intended functionality and should not be relied upon for any legal, commercial, or regulatory purpose until the service is formally launched and a separate service agreement is executed.

Nothing on this Site constitutes legal advice. Rights.dev does not verify the legal validity of any licensing agreement, and a Rights Cleared credential is not a legal determination of licensing status.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RIGHTS.DEV SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THIS SITE OR THE INFORMATION CONTAINED HEREIN, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL RIGHTS.DEV’S TOTAL LIABILITY TO YOU EXCEED ONE HUNDRED US DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

7. Indemnification

You agree to indemnify, defend, and hold harmless Rights.dev and its operators, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Site, your violation of these Terms, or your violation of any third-party right.

8. Links to Third-Party Sites

The Site may contain links to third-party websites. These links are provided for convenience only. Rights.dev does not endorse, control, or take responsibility for the content, privacy practices, or accuracy of any third-party site. Your use of third-party sites is governed by their own terms and policies.

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in San Francisco County, California, and you consent to the personal jurisdiction of those courts.

You agree to bring any claim within one (1) year of the event giving rise to the claim, after which the claim is permanently barred.

10. Changes to These Terms

Rights.dev may update these Terms as the service develops. When we make material changes, we will update the effective date at the top of this page. Continued use of the Site after a change constitutes acceptance of the updated Terms. If you do not agree to updated Terms, you must stop using the Site.
